Applying to incorporate a European Company

Once your proposed name has been approved and provided that all relevant decisions regarding your European Company have been taken, you may proceed with the submission of an application for the incorporation of a European Company.

The form for SE incorporation by merger (either via acquisition or via the incorporation of a new company) is submitted to the Registrar of Companies, by hand/post, accompanied by the following documents:

• copy of court order declaring that the provisions of article 26 of the Council's Regulation (EC) no. 2157/2001 have been complied with;
• a translation of the memorandum and articles of association, if it is in a language other than Greek or English, certified by an affidavit or sworn translator of the Republic of Cyprus;
• a translation of the memorandum and articles of association in a language other than Greek, certified by an affidavit or sworn translator of the Republic of Cyprus, in the event that you wish to create a file of translations for obtaining certified copies of the memorandum and articles of association in a foreign language;
• permission, consent or pre-approval by the appropriate governmental authority or appropriate body, if required for the use of words or phrases and/or due to the nature of business respectively (if such a document has not already, been submitted with the application for name approval);
• the fee of one hundred and fifty euros (€150) for the incorporation of a new SE, and an additional fee of one hundred euros (€100) if the accelerated procedure is required (payable in cash, by cheque (made payable to “Registrar of Companies”), via an account maintained with the Department of Registrar of Companies or via bank transfer); or
• the fee of twenty euros (€20) for the incorporation of SE by absorption and an additional fee of twenty euros (€20) if the accelerated procedure is required (payable in cash, by cheque (made payable to “Registrar of Companies”), via an account maintained with the Department of the Registrar of Companies or via bank transfer).

You are advised to refer to the Explanatory Notes so as to acquire a better understanding of what is required and to facilitate the process further.
