Filing the draft terms for the incorporation of a holding SE

The management (two-tier system) or administrative (one-tier system) bodies of companies pursuing the incorporation of holding SE draw up the draft terms by submitting form ED2(I) to the Registrar of Companies and proceeds to publication at least one (1) month before the general meeting called up to decide thereon.

At the same time, the bodies draw up report whereby explaining and justifying the legal and economical financial aspects of the incorporation and the consequences it shall have on the shareholders as well as the employees.

You may submit the draft terms for the Incorporation of SE Companies or SE pursuing the incorporation of a holding SE (form ED2(I)) to the Registrar of Companies, by hand/post, accompanied by:

• the draft terms of the incorporation instrument of a holding SE;
• a certified translation of the draft f terms of the incorporation isntrument of a holding SE in a language other than Greek, either by an affidavit or by sworn translator of the Republic of Cyprus;
• the amount of twenty euros (€20) and an additional fee of twenty euros (€20) in case you wish to accelerate the procedure (payable in cash, by cheque, via an account maintained with the Department of Registrar of Companies or by bank transfer).

At the same time, the draft terms for the incorporation of a holding SE is sent at the email address eachilleos@drcor.meci.gov.cy.

You are advised to refer to the Explanatory Notes of the above mentioned form for a better understanding of the requirenments and to facilitate the process further.

Provided that the Registrar of Companies is satisfied that all relevant legal requirements have been met accordingly, he will proceed with registration of the draft terms and the publication to the Official Gazette.
