Conversion of a European company into public company

Submission of application for conversion of a European company into public limited liability company

You may submit the form for conversion of an SE into public limited liability company (form ED8) to the Registrar of Companies, by hand/post, accompanied by the following documents:

  • report whereby explaining and justifying the legal and economical aspects of the conversion and the consequences on shareholders and employees;
  • copy of resolution approved by the general meeting;
  • memorandum and articles of association of the proposed public limited liability company;
  • experts’ report;
  • a fee of twenty euros (€20) and an additional fee of twenty euros (€20) in case you wish to accelerate the procedure.

The above fees are payable in cash, by cheque, via an account maintained with the Department of Registrar of Companies or by bank transfer.

You are advised to refer to the  Explanatory Notes of form ΕΔ8 so as to acquire a better understanding and to facilitate the procedure.

Αs from February 12th, 2021, the redesigned form ED8 has been implemented. 

 

Provided that the Registrar of Companies is satisfied that all relevant legal requirements have been met accordingly, he will proceed with registration of conversion of an SE into public limited liability company and he will issue the relevant certificate.

The certificate of conversion may be obtained from the Department’s mail boxes or by post.

In the event that the European company requires proof of the change made in the companies register, it may request to obtain certified copies of the change.
