Obtaining European Company’s Certified Copies/Certificates

Obtaining European Company’s Certified Copies/Certificates

You may request the issue of a European company certified copy as well as a certificate from the Registrar of Companies. It is noted that, the certified copy/certificate shall reflect the structure of the company on the basis of what has been notified to the companies register up to its date of issue.

In particular, the Registrar of Companies issues the following certified copies:

  • Certified Copy of Certificate of Incorporation;
  • Certificate of Registered Office Address;
  • Certificate of Directors (or members of the supervisory and management body, in case of two-tier system) and Secretary;
  • Certified copy of the Company’s Memorandum and Articles of Association;
  • Certificate of Reduction of share capital;
  • Certificate of Reduction of share premium capital;
  • Certificate of Change of Name; and
  • Certificate of conversion of European company into public.

At the same time, by paying an additional fee the following certificates are issued:

  • Certificate of Transfer of Registered Office;
  • Certificate of SE good standing; and
  • Certified Copy of statutory forms.

Submitting a request for certified copies/certificates

You may submit the form for obtaining European companies’ certified copies (form ΕΔ12), by hand/post, accompanied by:

  • a fee of twenty euros (€20) per certified copy/certificate;
  • a fee of forty (€40) euros for a certified copy of the memorandum and articles of association (when a copy of the document to be certified is provided together with the application), or fifty (€50) euros when a copy of the document is not provided; and
  • In the case of an accelerated request, an additional fee of twenty (€20) euros per certified copy/certificate.

Fees are payable in cash, by cheque, via an account maintained with the Department of the Registrar of Companies or via bank transfer. 

You are advised to refer to the Explanatory Notes of form ΕΔ12, so as to acquire a better understanding of what is required and to facilitate the process further.

The certified copies/certificates may be picked up from a mail box of the Department of the Registrar of Companies, from the Point of Single Contact Cyprus (One Stop Shop), or it can be received by post.

Αs from February 12th, 2021, the new form ΕΔ12 has been implemented in replacement of the letter.
