Notifying settlement of a charge or release of property charged

An overseas company, registered with the Registrar of Companies,, must inform the Registrar of Companies by submitting form AE11 to update the register with the following:

• payment in full or in partial of the debt for which the charge was registered or;
• release in full or partial of the property charged.

Registering the settlement of a charge

You may submit the form for full or partial settlement of a charge or release of property charged (form AE11), by hand/post, accompanied by:

• the consent of the beneficiary of the charge;
• a fee of twenty euros (€20) and, an additional fee of twenty euros (€20), if the accelerated procedure is required.

The fees are payablein cash, by cheque (made payable to “Registrar of Companies”), via an account maintained with the Department of the Registrar of Companies or via bank transfer.

It is noted that, the document must be signed in the presence of the Registrar of Court Order, by a director and the secretary of the company or an authorised person. In case the document is signed by an authorised person, it must be also signed by a director or the secretary of the company. Authorised persons of an overseas company are persons who are authorized to represent the company and the place of business in transactions with third parties and before the courts and the authorities and relevant notification has been submitted to the Registrar of Companies during the registration of an overseas companies with the form AE3 or after its registration with the form AE6.

You are advised to refer to the Explanatory Notes, so as to acquire a better understanding of what is required and to facilitate the process further.

In the event that the company requires proof of the change made in the companies register, it may submit a request to obtain certified copies of an overseas company.

Provided that the Registrar of Companies is satisfied that all relevant to the circumstances, legal requirements have been met, he will proceed with registering the settlement of charge or release of property charged and updating the companies register.

The new consolidated form AE11 has been implemented as from December 6th, 2021, in replacement of forms ΗΕ28, ΗΕ29 and ΗΕ30 as regards to overseas companies.
