Reform: Modernisation of Certificates and Certificates of Entries, issued by the Companies Section of the Department of Registrar of Companies and Intellectual Property

The Ministry of Energy, Commerce and Industry (MECI) announces that, within the context of implementing the Action Plan for the modernisation and reorganisation of the Department of Registrar of Companies and Intellectual Property (DRCIP), the following legislative reforms were published in the Official Gazette of the Republic on 25/07/2025 and 19/09/2025:

On 25/07/2025:

  1. The Companies (Amendment) (No. 2) Law of 2025 (Law 155(I)/2025)
  2. The General and Limited Partnerships and Business Names (Amendment) Law of 2025 (Law 156(I)/2025)
  3. The European Economic Interest Groupings (EEIG) (Implementing Provisions) (Amendment) Law of 2025,(Law 157(I)/2025)
  4. The European Public Limited-Liability Company (SE) (Amendment) Regulations of 2025, ΚΔΠ 233(Ι)/2025

On 19/09/2025:

  1. The Companies Order of 2025, ΚΔΠ 282/2025
  2. The Companies Order (No. 2) of 2025, ΚΔΠ 283/2025
  3. The General and Limited Partnerships and Business Names Order of 2025, ΚΔΠ 284/2025

The above legislative reforms introduce the new, redesigned and consolidated types of certificates and certificates of entries, to be issued by the Companies Section via the new IT system solution currently under development. Notably, 64 new types are introduced (24 certificates and 40 certificates of entries) covering the full range of registered entities in the Registrar’s Register, namely companies, foreign companies, European companies, European Economic Interest Groupings (EEIG), business names, and partnerships. The aim is to modernize and simplify procedures while facilitating business activity.

Furthermore, the new framework provides for:

  • Full electronic issuance, delivery, and certification of all certificates and certificates of entries, minimising the need for in-person transactions.
  • Bilingual certification (Greek/English) of certificates and certificates of entries, enhancing accessibility and cross-border cooperation.
  • Introduction of new types of certificates and certificates of entry to meet modern business requirements.
  • Adoption of the Department’s electronic seal, thus ensuring the authenticity of documents and information contained.
  • Use of a Quick Response (QR) code for direct redirection of the user via their mobile device to the Registrar’s register for verification of the recorded information.

The legislative changes are expected to:

  • Reduce the time required for the issuance of certificates/ certificates of entries via streamlined electronic procedures.
  • Enhance the security of documents and their cross-border usability.
  • Facilitate international transactions via the use of bilingual certificates.

It is noted that, except for the provisions explicitly referred to in the published amendment laws and regulations, the new legislative framework and the new types of certificates and certificates of entries will be implemented following a Notification by the Registrar of Companies, which will be published in the Official Gazette of the Republic in due course.

The above legislative package was prepared by the legal firm “Hadjianastassiou, Ioannides LLC”, via a legal contract signed with the Ministry.
