UPDATE OF ADDRESSES AND CONFIRMATION OF BENEFICIAL OWNERS’ INFORMATION 2025
The Department of the Registrar of Companies and Intellectual Property (DRCIP) informs that, further to the announcement dated 25/08/2025 regarding the Confirmation of Beneficial Owners’ Information in the Beneficial Ownership Register System for the year 2025 (electronic link: CONFIRMATION OF BENEFICIAL OWNERS' INFORMATION IN THE BENEFICIAL OWNERSHIP REGISTER SYSTEM FOR THE YEAR 2025), and within the framework of the relevant campaign, it has been observed that many letters sent by the DRCIP to the registered office address of companies and to the workplace address of partnerships are not received by the addressees.
The DRCIP calls on all companies and partnerships to check and update the information of their registered office address and workplace address in the Register of Business Entities, using the corresponding form applicable to each organization, so that the information kept in the Register of Business Entities is correct and up to date.
It is reminded that all companies incorporated or registered under the Companies Law, Cap. 113, all European Public Limited Liability Companies (SE), and all partnerships, are required to access the Beneficial Ownership Register (BOR) system from 1 October 2025 until 31 December 2025 and carry out the confirmation of the beneficial owners’ (BOs) information, or of the senior management officials, or due diligence (as applicable in each case).

Pursuant to Article 61A(10)(h) of Law 188(I)/2007, the Registrar of Companies is empowered to strike off from the Register of Business Entities any company or other legal entity that refuses, omits, or neglects to fulfil its obligations to update the information on its beneficial owners, by analogy with the procedure for striking off a company under Article 327 of the Companies Law, or pursuant to subsection (5) of Article 57 of the General and Limited Partnerships and Business Names Law.
