Restoration of a Company

Administrative restoration of a company

A company that has been struck off from the companies register, due to non-compliance with the Companies Law, can be restored and considered to have continued in existence as if its name had not been struck off.

A company may request for aadministrative restoration provided that it has been struck off by the Registrar of Companies for one of the following reasons:

  • failure to submit to the Registrar of Companies any document required by law (e.g. annual return);
  • failure to pay the annual fee;
  • the Registrar of Companies had reasonable reasons to believe that the company did not carry out operations or was not operating.

A director or a member of the company may submit form for administrative restoration (form ΗΕ64) to the Registrar of Companies within twenty four (24) months from the date of the company’s strike off.

You may submit the form for administrative restoration (form ΗΕ64), by hand/post, accompanied by:

  • all forms, reports, financial statements and documents that were due before the date of strike off;
  • all due fees, charges and / or fines that occurred and / or imposed before the date of strike off;
  • written consent of a competent representative of the Republic for the restoration of the company, in case its property and / or rights are dealt by the Republic;
  • the fee of twenty euros (20) and an additional fee of twenty euro (€20) in case you wish to accelerate the procedure.

The fees are payable in cash, by cheque, via an account maintained with the Department of the Registrar of Companies or via bank transfer.

You are advised to refer to the Explanatory Notes, so as to acquire a better understanding of what is required and to facilitate the process further.

 The aforementioned new form ΗΕ64 has been implemented as from December 6th, 2021.

 

Provided that the Registrar of Companies is satisfied that the company at the time of its strike off carried out operations or was in operation, and all relevant to the circumstances legal requirements have been met, he will proceed with the issuance of company’s restoration certificate, the updating of the companies register, as well as to the relevant publication to the Official Gazette.

The date of issue of the restoration certificate by the Registrar of Companies is considered as the date of restoration of the company to the register.

The company may request to obtain certified copies.
