Filing the draft terms of merger

The management (two-tier) or administrative (two-tier) body of SE draws up the draft terms of conversion of a European company into public limited liability company, sumbittted and published with the Registrar of Companies.

You may submit the form notification (ED8(I)), for the draft terms of merger of conversion of an SE into a public limited liability company, to the Registrar of Companies, by hand/post, accompanied by a copy draft terms and by paying the fee of twenty euros (€20) and an additional fee of twenty euro (€20) in case you wish to accelerate the procedure. TFees are payable in cash, by cheque, via an account maintained wiht the Department of Registrar of Companies or by bank transfer.

At the same time, the draft terms of conversion is sent at the electronic address eachilleos@drcor.meci.gov.cy.

You are advised to refer to the Explanatory Notes of form ΕΔ8 (Ι), so as to acquire a better understanding of what is required and to facilitate the process further.

Provided that the Registrar of Companies is satisfied that all, relevant to the circumstances, legal requirements have been met he will proceed with registering the draft terms of SE conversion, and with the publication to the Official Gazette.

Αs from February 12^th, 2021, the redesigned form ED8(I) has been implemented.
