Establishing overseas company’s place of business

Applying to establish an overseas company’s place of business

Once your proposed name has been approved and provided that you have taken the relevant decisions regarding the establishment of the place of business of an overseas company in the Republic of Cyprus you may proceed with the submission of the application within one month from the date of establishment of the place of business in the Republic of Cyprus, either via e-filing or by hand/post.

Online registration of an overseas company’s place of business 

You may submit your request online through the Registrar of Companies e-filing system along with:

  • list of documents delivered for registration by the overseas company (form AE1);
  • true copies of the charter or articles or memorandum of association of the overseas company which are to be certified by an apostille of the Hague Convention by the competent foreign authority on the original foreign-language document or by the competent authority in case where the country of incorporation is not a member of the Hague Convention or a certified translation, either by an affidavit or by sworn translator of the Republic of Cyprus, in the Greek language in case where the documents above are in a language other than the Greek or English language;
  • written report signed by an authorised person which includes the name of the company, its legal form, the country of incorporation, the place of conducting business in Cyprus and the address abroad, the nominal and issued capital in shares, the nature of business;
  • list and details in relation to the first directors and secretaries of the overseas company (form AE2);
  • Details in relation to the authorised by the overseas company persons (form AE3);
  • solemn declaration of the witness of signatures;
  • the amount of three-hundred and eighty euros (€380) for the registration (payable by credit card). To accelerate the overseas company registration process, an additional fee of one hundred euros (€100) is required.

You are advised to refer to the main criteria of review and the most frequent reasons for rejection so as to acquire a better understanding of what is required and to facilitate the process.

If you are a registered user, you may proceed with the electronic submission of the establishment of the overseas company, otherwise you must first obtain access to e-filing services.

Registration of an overseas company by hand/post

Alternatively, you may register an overseas company by hand/post by submitting:

  • list of documents delivered for registration by the overseas company (form AE1);
  • true copies of the charter or articles or memorandum of association of the overseas company which are to be certified by an apostille of the Hague Convention by the competent foreign authority on the original foreign-language document or by the competent authority in case where the country of incorporation is not a member of the Hague Convention or a certified translation, either by an affidavit or by sworn translator of the Republic of Cyprus, in the Greek language in case where the documents above are in a language other than the Greek or English language;
  • written report signed by an authorised person which includes the name of the company, its legal form, the country of incorporation, the place of conducting business in Cyprus and the address abroad, the nominal and issued capital in shares, the nature of business;
  • list of directors and secretary of the company as well as their details (form AE2);
  • names and addresses of authorised persons residing in the Republic of Cyprus (form AE3);
  • the amount of three-hundred and eighty euros (€380) for the registration (payable by cash, cheque, through an account maintained with the Department of the Registrar Companies or through bank transfer). To accelerate the overseas company registration process, an additional fee of one-hundred euros (€100) is paid.
