Constitutional Documents

The constitutional documents, e.g. charter, articles and memorandum of association of the company, are the documents according to which the company has been incorporated outside the Republic of Cyprus.

The said constitutional documents of the overseas company must include at least the following with regards to each director and secretary:

  • in case of natural person, the full name and usual address of residence;
  • in case of legal person, its name and registered or main office.

The constitutional documents of the overseas company must be original true copies from the country of incorporation and must be certified by apostille of the Hague Convention by the competent authority on the original document. In case where the country of incorporation is not a member of the Hague Convention, certification is made by the competent authority in the Republic of Cyprus (by an affidavit in Court or by sworn translator in the Republic of Cyprus).

The abovementioned memorandum and articles of association are submitted to the Registrar of Companies accompanied with form AE1 simultaneously with the submission of the application for the establishment of the overseas company’s place of business. Following the registration of the overseas company, any amendments regarding the memorandum and articles of association are notified to the Registrar of Companies by form AE4.
