Updating Overseas Company’s Particulars

Amending constitutional documents, share capital or company’s name

Following the registration, an overseas company, may proceed with the amendment of its memorandum, the articles of association/constitutional documents or the name, as well to the share capital.

The overseas company is obliged to submit to the Registrar of Companies the change to the charter, articles of association, memorandum of association or any other constitutional documents  (form AE4) within fifteen (15) days from the date of change.

Registering change

You may submit the change to the charter, articles of association, memorandum of association or other constitutional documents or the name or share capital (form AE4), by hand/post, accompanied by:

  • true copies of the charter or memorandum or articles of association or other constitutional documents or documents indicative of incorporation of the overseas company which are certified by Hague Convention apostille by the competent foreign authority on the original foreign-language documents or by the competent authority in case where the country of incorporation is not a member of the Hague Convention or a certified translation in the Greek language either by an affidavit or by sworn translator of the Republic of Cyprus, in case where the above documents are in a language other than the Greek or English language;
  • certificate of change of name (in case of change of name);
  • resolution (in case of change to share capital);
  • fee of twenty euros (€20) and an additional fee of twenty euros (€20) in case the accelerated procedure is required;

The fees can be paid payable in cash, by cheque, withdrawal via an account maintained with the Department of the Registrar of Company or via bank transfer).

You are advised to refer to the Explanatory Notes, so as to acquire a better understanding of what is required and to facilitate the process.

In the event that the overseas company requires proof of the change made in the companies register, it may request to obtain certified copies of the change.

The redesigned form AE4 has been implemented as from December 6th, 2021.
