Liquidation of EEIG

Liquidation of EEIG by court

An EEIG may be liquidated by court upon an application by a member or any interested party or competent authority, in the following cases:

  • the object of EEIG ceases to be the facilitation or development of the economic activity of its members, as well as their improvement or increase of their profit from such activities;
  • the activities of an EEIG do not relate to the economic activity of its members and/or is not only ancillary to them, but instead makes its own profits;
  • EEIG does not meet its formation requirements;
  • the seat of EEIG is no longer located within the territory of the European Union;
  • EEIG no longer meets its composition requirements.

Copy of the court order is notified to the Official Receiver by the liquidator. For further information, refer to the webpage of the Insolvency Service.

Upon completion of the procedure of filing its court order, the Registrar of Companies publishes its strike off in the Official Gazette of the Republic of Cyprus and notifies its strike off to the Publications Office of the European Union.
