Filing application for the transfer of SE registered office

Once your proposed name has been approved and provided that you have taken the relevant decisions regarding the transfer of SE registered office, you may proceed with the submission of the application for its continuation in the Republic of Cyprus.

You may submit the form for transfer of SE to Cyprus (form ED5) to the Registrar of Companies, by hand/post, accompanied with:

• certificate from the competent authority that all relevant measures have been met for the transfer of the SE in the Republic of Cyprus;
• a certified memorandum and articles of association in a language other than Greek, either by an affidavit or by sworn translator of the Republic of Cyprus;
• a certified translation of the memorandum and articles of association in a language other than Greek, either by an affidavit or by sworn translator of the Republic of Cyprus, in case you wish to open a file of translations for obtaining certified copies of the memorandum and articles of association in a foreign language;
• permission, consent or pre-approval, by the appropriate competent governmental authority or approrpiate body in case it is neccessary for the use of words or expressions and/or due to the nature of business respectively, in case it has not submitted already with the application for name approval;
• the amount of twenty euros (€20) and an additional fee of one hundred euros (€100) in case you wish to accelerate the procedure (payable in cash, by cheque, via an account maintained with the Department of Registrar of Companies or by bank transfer).

You are advised to refer to the Explanatory Notes so as to acquire a better understanding and to facilitate the procedure.
