Updating European Company’s Particulars

Amending the memorandum & articles of association

Following incorporation, a European company, may proceed with the amedment of article/s or in whole the memorandum and articles of association. A European company is obliged to submit to the Registrar of Companies form relating the amendment of memorandum and articles of association of a European company within fourteen (14) days from the amendment date.

Registering amendment of the articles of association

You may submit the form for the amendment of memorandum and articles of association of a European company (form EΔ10) to the Registrar of Companies, by hand/post, accompanied by:

  • a special resolution;
  • an amended memorandum and articles of association;
  • fee of sixty euros (€60) and an additional fee of twenty euros (€20) in case the accelerated procedure is required. 

Fees are payable in cash, by cheque, via an account maintained with the Department of Registrar of Companies or by bank transfer.

You are advised to refer to the Explanatory Notes of form ΕΔ10, so as to acquire a better understanding of what is required and to facilitate the process further.

Provided that the Registrar of Companies is satisfied that all, relevant to the circumstances, legal requirements have been met he will proceed with registering the ammendment and updating the companies register.

In the event that the company requires proof of the change made in the companies register, it may request to obtain certified copies of the change.

Αs from February 12th, 2021, the new form ΕΔ10 has been implemented.
