Updating EEIG's Particulars

Updating members and member shares 

A European Economic Interest Grouping (EEIG) may proceed with changes to its members as well as to the number of shares each member holds.

The EEIG is obliged to submit to the Registrar of Companies, within fifteen (15) days from the date of change, notification of the change both in its grouping composition and the transfer of the shares of its members.

Registering Change

You can register the notification of either the amendment of the grouping's composition or the transfer of the shares of its members, by submitting the form of notification of documents and details (form ΕΟΟΣ 4), by hand/post, accompanied by:

  • the amended contract of formation,  in case of amendment of its grouping's composition;
  • the contract of assignment of part of or the whole participation of a member in case of transfer of the members of its shares;
  • the agreement exempting a new member from paying debts and other obligations in the event of a new member's clause being introduced from the obligation to repay debts;
  • certified translation of the above documents, either by an affidavit or by sworn translator of the Republic of Cyprus, in case where the original document is in a language other than Greek.

It is noted that, no fee is required for filing the abovementioned form for registering change in EEIG's members and members shares.  

Provided the Registrar of Companies is satisfied that all legal requirements, depending on the case, have been met, proceeds with the filing of the change, the updating of the register and notifies the Publications Office of the European Union accordingly.

In the event that the EEIG requires proof of the change made in the register, it may request to obtain certified copies of the change.
